Client in the insurance industry is seeking the services of a LEGAL MANAGER, to join their dynamic team, based in Umhlanga
Main job function
The purpose of this role is to restructure and manage the legal department. This shall include the implementation of systems and procedures to ensure that the department is able to effectively service the business’s needs.
The purpose of the role is also to provide the business with a highly skilled resource in respect of legal advice and assistance in all legal matters to all areas of the business.
General Management Of The Legal Department
Manage the entire legal team.
Implement key processes, resources and procedures to ensure that the legal department is effectively able to service the needs of the business.
Sit on the Executive Committee and report on the legal developments and risks associated with the legal department and the work conducted thereby.
Draft regular reports on the workflow and issues arising in the legal department.
Drafting And Management Of All Contracts
Drafting, reviewing and vetting all commercial contracts including non-disclosure agreements, service level agreements, credit applications, investment mandates.
Drafting, reviewing and vetting all agreements required by the applicable regulations, including binder agreements, outsource agreements and intermediary agreements.
Providing advice on the regulatory requirements in respect of all contracts concluded on behalf of the business.
Providing advice, assist in the negotiations and conclusion of all contracts and terminations or cancellations thereof.
Providing advice in respect of all legal processes concerning product development.
Create awareness of legislative requirements and legal risks across all business departments.
Manage and keep updated contract templates and Legal register of contracts.
Monitoring of external legal service providers
Manage and conduct annual audits of all contracts.
Manage new business contracts process and terminations/cancellations.
Provide legal advice on complaints.
Draft opinions on the validity of complaints.
Review and settle responses to complainants including Ombudsmen.
Manage the recordal of all complaints into the appropriate register (FAIS or OSTI) and updating the register as the complaint handling progresses.
Manage the complaint handling of the external service provider.
Monthly reporting on complaints both Ombudsman and client complaints, consolidate and report to Management per specified format.
Provide complaints reports to various forums as and when required.
Provide input to the business on possible resolutive action to be taken in order to reduce the number of complaints.
Investigate and analyse the cause of the complaints and inform the various business areas of the outcome of such investigations.
Review and draft complaint handling policies and ensure regulatory compliance in respect of all complaint handling.
Maintain And Develop Policy Wording
Attend to reviewing and amending policy wording.
Attending to providing advice in respect of any proposed policy wording changes.
Attending to providing legal assistance to product development in respect of all proposed policy wordings and descriptions.
Assist business in respect of the legal requirements arising out and the interpretation of the various legislation applicable to the business including the Insurance Act, the Short-Term Insurance Act and the regulations pertaining thereto including the Policy Holder Protection Rules, the Prudential Governance Standards, and the TCF Principles.
Manage and institute recovery processes against 3rd parties. Reduce reliance on external attorneys.
Negotiate best possible settlements on legal matters.
Attend to peruse summons matters and attend court where required.
Manage attorneys who have been appointed to defend matters and institute legal recoveries. Understand costs versus benefits and probability of success by analyzing evidence at hand.
Provide legal opinions on insured claims repudiations and settlements.
Manage the third-party claims department.
Provide legal advice on policy wording interpretation.
Provide legal advice on potential and existing disputes.
Manage all litigation matters, including the costs thereof, and external legal service providers.
Draft all documents generated in the dispute management process including letters of demand, with and without prejudice correspondence, settlement proposals, settlement agreements and acknowledgements of debt.
Grade 12/ Matric
LLB, Admitted Attorney of the High Court of South Africa
Minimum 3 years post admission experience in a legal practice or as a legal advisor.
Minimum 5 – 10 years’ experience.
Experience in a top tier firm is preferable.
Extensive experience in drafting commercial contracts.
Extensive experience in drafting Insurance contracts.
Experience in leading negotiations on complex, high value, contracts and agreements.
Extensive experience in insurance litigation.
Extensive knowledge of the financial service industry and insurance law.
