Our client based in Gauteng have an opportunity for a Legal Associate.
Main job function
The Legal Associate will be an integral member of the team, reporting directly to the Chief Commercial Officer and working with other members of the team to provide legal assistance that supports the company’s needs. This position will provide a service to Company Ventures and other associated companies/ business units as required
The Legal Associate will be confident and proactive in his/her approach, will have the ability to work collaboratively and also be capable of working autonomously, and shifting priorities as needed.
They must be hands-on, organized and a problem solver. The Legal Associate must be team oriented and comfortable with, and skilled in, both leading and interacting with attorneys and senior management.
Assisting with negotiating and drafting commercial contracts or agreements;
Drafting legal and corporate documents including opinions and memoranda;
Advising the business units on laws and regulations applicable to the commercial transactions and keep them informed of the latest legal and regulatory developments as well best practice;
Carrying out research on legal and regulatory issues relating to the company’s products/services and ensure compliance with applicable laws, regulations and company policies;
Providing sound advice on potential risks and measures that can be taken to mitigate such risks related to the new services to avoid disputes and losses;
Managing any external counsel mandated to provided including advising on structuring of onshore and offshore group entities
Undertaking due diligence on potential business partners and service providers;
Attending meetings with different stakeholders;
Making the directors aware of their duties, responsibilities and powers;
Ensuring that minutes of all shareholder meetings, board meetings and any committee meetings are properly recorded;
Certifying the company’s annual financial statements and whether the company has filed all necessary returns and notices, and whether those returns and notices appear to be true, correct and up to date;
Law degree from a recognized university as a minimum;
South African qualified and admitted Attorney.
Minimum 3 years’ experience in corporate and commercial law
Ability to work within deadlines;
Ability to work well under pressure without compromising the quality of work;
Ability to work with a dynamic team as well as share transfer and knowledge;
Ethical, honest and has integrity
