Job Description:

A multi-national company in the services industry, is looking to appoint a Company Secretary, that is an Admitted Attorney with an LLB degree and CSSA qualification. Provide Company Secretarial services in terms of JSE listing requirements, The Companies Act & King IV. Managerial experience is essential for this role. EE/AA position.

Main job function

Conduct all Company Secretary duties as per the Companies Act of 2008

Provide the directors of the company with guidance as to their duties, responsibilities and powers

Make the directors aware of any law relevant to or affecting the company

Report to the company’s board any failure on the part of the company or a director to comply with the Memorandum of Incorporation or rules of the company or this Act

Ensure that minutes of all shareholders meetings, board meetings and the meetings of any committees of the directors, or of the company’s audit committee, are properly recorded

All regulatory matters in terms of the JSE Listings Requirements, Integrated Annual Report Companies Act and King IV

Provide access to the Board to professional and independent guidance on corporate governance and its legal duties

Manage director’s disclosure and interests in contracts

Prepare the Agendas and board pack of the Board and Committees, attend these meetings and preparing the minutes

Corporate Reports - assist with drafting of certain corporate reports

Maintain the company statutory records and do all filings to CIPC

Resolutions - draft and administer any board resolutions

SENS announcements - liaison between directors, JSE and corporate sponsor

Preparation of new governance related documents

Legal responsibilities

Identification and communication of potential risks with a legal implication

Provide timeous, professional advice and solutions in respect of legal matters

Maintain a constantly updated 'library' of advice

Manage the regulatory universe of the Group within the operational territories

Implement legally compliant best business practices and policies

Draft, review / update, vets and negotiate legal contracts and commercial agreements, including Service Level Agreements and other legal documentation to adequately manage legal risks

Monitor relevance of legal documentation to ensure consistency across businesses, identify risks and within legal standards

Provide general legal advice

Monitor, analyse and evaluate the impact and legal implications of developments in the industry, including the activities of competitors

Ensure legally compliant best business practices and policies

Identify and communicate current and anticipated legal issues/risks

Deal with litigation matters involving the business to manage legal risk

Cultivate and manage objective working relationships with a variety of stakeholders, including external attorneys, business and external stakeholders

Provide support to business management by developing general awareness and ensuring compliance to plans, policies and procedures




Admitted attorney, with focus on commercial and corporate law


Adequate Company Secretarial experience, as outlined by the Company’s Act

5 to 8 years related experience post admission, with a preference for corporate and commercial law

In-depth knowledge and understanding of relevant Legislation, especially the Company’s Act

Managerial experience essential
